1. General
This document is a public offer (the “Offer”) to capable individuals, legal entities, and sole proprietors to conclude a contract for paid IT and related infrastructure services (the “Services”) on the terms below.
Under Article 437(2) of the Civil Code of the Russian Federation, accepting the Offer forms a contract on these terms. Acceptance includes, among other things: submitting a request through klepin.in forms with a clear intent to contract; signing a separate agreement or addendum; paying the Contractor’s invoice after terms are agreed; or other conduct that unambiguously agrees to the Offer in a specific transaction.
Scope, timelines, deliverables, and pricing are agreed separately in a specification, statement of work, invoice, invoice-contract, or other document signed by the parties or agreed via remote channels.
2. Subject matter
The Contractor provides Services requested by the Customer related to design, implementation, configuration, support, and consulting for network infrastructure, cloud, security, monitoring, telephony, storage, and other areas described on klepin.in or agreed separately. The Customer accepts and pays for the Services as agreed.
The exact scope is clarified before work starts; the Offer does not imply a fixed catalog of work or rates without separate agreement.
3. Cooperation and timelines
The parties agree on the task, expected outcome, phases, and schedule. The Contractor may involve subcontractors while remaining responsible for their work unless otherwise agreed.
Timelines are met when results are delivered within the agreed period or the Customer is notified of readiness, and delays in acceptance attributable to the Customer do not create liability for the Contractor.
4. Price and payment
Price, currency, and payment terms are set in the invoice, contract, specification, or other agreed document. Until then, neither party is bound to a specific amount.
Payment is typically by bank transfer to the Contractor’s details unless otherwise agreed. Payment is deemed made when funds are credited to the Contractor’s account.
5. Rights and obligations
The Customer provides accurate information needed for the Services, grants agreed access, and accepts deliverables or sends reasoned objections in time.
The Contractor performs Services with reasonable skill and care, informs the Customer of material blockers, and complies with Russian personal data law where processing is part of the Services.
6. Acceptance
Acceptance may be formalized by an act signed by both parties or by email confirmation or another agreed method if no act is used.
If the Customer raises no reasoned objections within the agreed period, deliverables may be deemed accepted unless the parties agree otherwise in writing.
7. Liability
Liability follows Russian law. The Contractor’s liability is limited to direct, documented damages and may not exceed the fees paid for the relevant Services in the preceding three months unless a higher cap is agreed in writing.
The Contractor is not liable for failures caused by third parties, public network outages, force majeure, or the Customer’s data and decisions that were not coordinated with the Contractor.
8. Confidentiality
The parties will protect confidential information obtained during performance, except where disclosure is required by law or a separate NDA applies.
9. Disputes
A claim procedure applies: thirty calendar days to respond to a written claim unless another period is agreed. If no settlement is reached, disputes are resolved in court at the Contractor’s location under Russian law.
10. Term and changes
The Offer is effective from publication on the Site until withdrawn. The Contractor may amend it; the new version applies to relationships arising after publication unless stated otherwise.
